Section
1 - Definitions (Explains what it means)

Licensed Material:
Music, audio, video, and all associated visual assets
including cover art, album artwork, and graphics created
for this release.

You / Your:
Any individual or entity exercising the Licensed Rights
under this Licence.

Commercial Use:
Use as part of a larger creative project intended for
profit or monetization, including but not limited to
videos, podcasts, games, apps, or educational content.

Standalone Use:
The use, resale, redistribution, or licensing of the
Licensed Material as an independent product, without
substantial creative transformation.

Derivative Works /
Adapted Material: Any remix, edit,
transformation, visual edit, cutout, recolor, crop,
loop, stem, or other modified versions of the original
Licensed Material.

NFT (Non-Fungible
Token): A digital certificate of ownership
stored on a blockchain, typically representing artwork,
music, video, or other digital assets.

AI / Machine Learning
Use: Any use of the Licensed Material in the
training, fine-tuning, or generation processes of
artificial intelligence systems or models.
Section
2 - Grant of Licence
Subject to the terms and conditions of
this Licence, Syndication.Studio ("Licensor") grants You a
non-exclusive, worldwide, royalty-free, non-sublicensable
licence to:
- Use the Licensed Material in
original creative works including but not limited to:
- YouTube videos and other
monetized platforms
- Podcasts
- Films, video games, or mobile
apps
- Educational and commercial
media projects
- Social media graphics, video
overlays, or promotional materials
- Share or distribute your finished
creative work containing the Licensed Material, provided
it is not a standalone use.

3 - Licence Conditions
You may use the Licensed Material only
under the following conditions:
1. Attribution Required
You must
provide visible or audible credit in a reasonable and
prominent location, such as in the video description, image
caption, credits, or metadata:

2. No Derivatives (with Exception)
You may
not modify, remix, transform, or build upon the Licensed
Material. This includes, but is not limited to:

For audio:
creating remixes, stems, loops, altering tempo,
pitch, or structure

For visuals:
recoloring, cropping, vector tracing, animating, or
creating derivative artworks
- Using only parts or elements
of the material (e.g., instrument samples or image
cutouts)
Exception:
You may resize Licensed
images and graphics solely for layout or usability purposes,
provided the content and proportions remain unaltered and
the resizing does not imply creative transformation.
3. No Standalone Use or Resale
You may
not:
- Reupload, redistribute, or
sell the Licensed Material by itself
- Include it in stock
libraries, NFTs,
sample packs, or collections
- Licence it to third parties
or sublicence its use
4. No Relicensing
You may
not relicence the Licensed Material under any other terms,
including Creative Commons or commercial licences.
Section
4 - Commercial Use Allowed
You may use the Licensed Material in
projects intended for monetization or commercial gain, only
if it is:
- Part of a broader original work
- Used according to all other
restrictions above
Examples:
- Monetized YouTube videos
- Commercial video games, apps, or
websites
- Corporate videos or ads (if
embedded within full creative work)
- Social media or advertising
content using the Licensed Material as a background or
layer
- Printed media or merchandise only
if part of a larger design and not the sole artwork
Section
5 - Termination
This Licence is revocable upon
violation. If you fail to comply with the terms:
- Your rights automatically
terminate
- Rights may be reinstated if the
violation is corrected within 30 days of discovery
- Syndication.Studio reserves the
right to seek legal remedy for misuse

6 - AI, Machine Learning, and NFTs

No AI / Machine
Learning Use
You may not use the Licensed Material, in whole or in
part, for the purposes of training, fine-tuning, or
operating any artificial intelligence or machine
learning model. This includes:
- Uploading to AI training
datasets
- Embedding in prompts to
generative models
- Using as input or target in
machine-learning pipelines
- Any use that contributes to
the creation of AI-generated output

No NFTs or Blockchain
Distribution
You may not tokenize, mint, sell, or distribute the
Licensed Material, or any derivative thereof, as a
Non-Fungible Token (NFT) or similar blockchain-based
asset representing ownership or access to the Licensed
Material.
Section
7 - No Warranties or Guarantees
Licensed Material is provided "as-is"
without warranty. Syndication.Studio makes no guarantees
regarding merchantability, fitness for a particular
purpose, or non-infringement.
